Seller Agreement

Effective Date: 12 September 2025


THIS SELLER AGREEMENT (“Agreement”) is a legally binding contract between:

Cart Daddy E Hub, a proprietorship firm having its principal place of business at 26, Industrial Colony, Naini, Prayagraj – 211008, Uttar Pradesh, India (hereinafter referred to as “Cart Daddy E Hub” / “we” / “our” / “us”), which operates the online marketplace through its website https://cartdaddy.in/ and associated mobile applications Cart Daddy and Cart Daddy Seller App (collectively referred to as the “Platform”),

AND

The Seller (individual or entity) who registers on the Platform to list, advertise, and sell goods/services to customers (hereinafter referred to as the “Seller” / “you” / “your”).

By registering as a Seller on the Platform, you agree to the terms and conditions of this Agreement, which shall be read along with the Terms of Use, Privacy Policy, and Shipping, Cancellation, Return & Refund Policy of the Platform.


1. ELIGIBILITY & REGISTRATION

1.1. Only individuals/entities legally capable of entering into binding contracts under the Indian Contract Act, 1872 may register as Sellers.
1.2. Sellers must provide accurate, complete, and verifiable KYC documents including PAN, GSTIN (where applicable), business registration certificates, and address proof.
1.3. Cart Daddy E Hub reserves the right to verify Seller credentials and to refuse or terminate registration if information provided is false, incomplete, or non-compliant.


2. LISTING & PRODUCT COMPLIANCE

2.1. Sellers shall list only genuine, new, and lawful products on the Platform. Counterfeit, stolen, restricted, illegal, expired, or unsafe products are strictly prohibited.
2.2. Sellers are responsible for ensuring compliance of products with all applicable laws, including but not limited to:

  • Legal Metrology (Packaged Commodities) Rules, 2011 (MRP, manufacturer details, expiry date),
  • Food Safety and Standards Act, 2006 (for food items),
  • Drugs and Cosmetics Act, 1940 (for cosmetics/health products),
  • BIS/ISI certification where mandatory.
    2.3. Product descriptions, images, prices, discounts, and warranties must be accurate, up-to-date, and not misleading.
    2.4. Sellers shall not engage in misleading advertisements, false claims, or bait marketing.

3. PRICING & PAYMENTS

3.1. Sellers shall set their own product prices, inclusive of applicable taxes (GST). Cart Daddy E Hub may recommend pricing guidelines but shall not control pricing.
3.2. Cart Daddy E Hub will collect payments from Buyers on behalf of Sellers through authorised payment gateways.
3.3. Settlement to Sellers (after deducting platform fees, commissions, charges, taxes, etc.) shall be made within 7–15 working days of order delivery confirmation.
3.4. In case of chargebacks, fraudulent transactions, or disputes, Cart Daddy E Hub reserves the right to withhold settlement until resolution.


4. SHIPPING, DELIVERY & RETURNS

4.1. Orders may be fulfilled either by:
a) Cart Daddy E Hub logistics partners, or
b) Seller’s own logistics partners (where approved).
4.2. Sellers must adhere to shipping timelines communicated on the Platform. Delayed dispatches may attract penalties or account suspension.
4.3. Sellers must ensure tamper-proof, secure packaging.
4.4. Sellers must accept returns/replacements as per the Platform’s Return & Refund Policy.
4.5. Refunds for eligible returns shall be borne by the Seller.


5. TAXES & LEGAL COMPLIANCE

5.1. Sellers shall be solely responsible for compliance with all applicable tax laws, including charging, collecting, and remitting GST.
5.2. Cart Daddy E Hub shall issue settlement statements reflecting sales and deductions but shall not be responsible for Seller’s tax obligations.
5.3. Sellers shall indemnify Cart Daddy E Hub for any tax liability arising due to misreporting or non-compliance by the Seller.


6. SELLER OBLIGATIONS

The Seller agrees to:
a) Ensure product quality, authenticity, and conformity with law.
b) Honour warranties, guarantees, and after-sales obligations.
c) Not engage in activities harmful to the Platform’s reputation.
d) Respond promptly to customer complaints and grievances.
e) Not manipulate reviews, ratings, or sales data.
f) Not engage in price gouging or unfair trade practices.


7. PLATFORM FEES & COMMISSIONS

7.1. Cart Daddy E Hub may charge Sellers a commission, transaction fee, or subscription fee for use of the Platform.
7.2. Applicable fees shall be communicated via the Seller Dashboard or agreement addendums.
7.3. Cart Daddy E Hub reserves the right to revise fees with prior notice.


8. INTELLECTUAL PROPERTY

8.1. Sellers shall not list products infringing third-party trademarks, copyrights, or patents.
8.2. Seller grants Cart Daddy E Hub a non-exclusive license to use its brand name, logos, and product images for marketing and promotional purposes.


9. INDEMNITY & LIABILITY

9.1. Seller shall indemnify and hold harmless Cart Daddy E Hub, its owners, directors, employees, and affiliates from any claims, damages, fines, penalties, or expenses arising from:

  • Non-compliance with laws,
  • Sale of counterfeit/unsafe products,
  • Customer disputes,
  • Intellectual property infringements.
    9.2. Cart Daddy E Hub acts only as an intermediary under Indian law and assumes no liability for products listed by Sellers.

10. TERMINATION & SUSPENSION

10.1. Cart Daddy E Hub may suspend or terminate a Seller account in cases of:

  • Policy or law violations,
  • Fraudulent activities,
  • Repeated customer complaints,
  • Failure to deliver orders.
    10.2. Pending dues, refunds, and claims will survive termination.

11. LIMITATION OF LIABILITY

Cart Daddy E Hub’s aggregate liability under this Agreement shall not exceed the total commission earned by Cart Daddy E Hub from the Seller in the 3 (three) months preceding the event giving rise to the claim.


12. GOVERNING LAW & DISPUTE RESOLUTION

This Agreement shall be governed by the laws of India. Courts at Prayagraj, Uttar Pradesh shall have exclusive jurisdiction. Disputes may also be referred to arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration at Prayagraj.


13. GRIEVANCE REDRESSAL

In compliance with Indian e-commerce laws, Sellers may contact the designated Grievance Officer for issues related to the Platform:

14. MISCELLANEOUS

  • This Agreement is an electronic contract and does not require physical signatures.
  • Cart Daddy E Hub reserves the right to amend this Agreement with prior notice. Continued use of the Platform by Sellers shall constitute deemed acceptance.
  • No partnership, joint venture, or agency is created by this Agreement.
